Terms of Service
Effective 3 May 2026. These terms govern your use of the IRIS service. By creating an account or using the service, you agree to them.
1. The agreement
These Terms of Service form a binding agreement between you (or the legal entity you represent, the “Customer”) and Cyrus Labs Ltd, a company registered in England & Wales under company number 17153679, with registered office at Charlbert Court, Charlbert Street, London NW8 7DB (“IRIS”, “we”, “us”).
If you are entering into this agreement on behalf of a company or organisation, you represent that you have authority to bind that organisation.
2. The service
IRIS is a software-as-a-service platform that connects to your AWS accounts and your AI provider accounts (such as OpenAI and Anthropic) to surface, attribute, and forecast spend, and to provide a chat interface that answers questions about your data.
We may modify, extend, or remove features over time. We will not materially reduce the functionality of a paid plan without reasonable notice.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us at security@irislabs.co.uk if you become aware of any unauthorised access.
- You may invite team members to your organisation. You are responsible for the actions of users you invite.
4. Customer data and connections
- You retain all rights in any data we read from your AWS or AI provider accounts ("Customer Data").
- You authorise us to read Customer Data solely to provide the IRIS service to you.
- We process Customer Data in accordance with our Privacy Policy and Security page.
- You are responsible for ensuring you have the right to grant us access to the AWS accounts and AI provider keys you connect.
5. Free trial
New customers may be offered a 14-day free trial. At the end of the trial period the service will convert to a paid subscription unless you cancel before the trial ends. We will not charge you during the trial. We may modify or end the trial offer at our discretion.
6. Subscriptions, fees, and billing
- Paid plans renew automatically each billing cycle (monthly or annual, as selected) until cancelled.
- Fees are charged in advance via our payment processor, Stripe.
- All fees are exclusive of VAT and other applicable taxes, which will be added where required.
- We may change pricing on renewal with at least 30 days' notice. Existing terms continue to apply until your next renewal.
- Fees already paid are non-refundable except where required by law.
7. Cancellation and termination
- You may cancel your subscription at any time from your account settings or by emailing support@irislabs.co.uk. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account if you breach these terms, fail to pay, or use the service in a way that creates a security or legal risk.
- On termination, you may export your data within 30 days. After 90 days we delete your data, except where retention is required by law (e.g. billing records).
8. Acceptable use
You agree not to:
- Use the service to violate any law or third-party right.
- Reverse engineer, decompile, or attempt to extract the source code of the service, except where this restriction is prohibited by law.
- Resell or sub-license the service without our written agreement.
- Use the service to send spam, transmit malware, or interfere with the operation of the platform.
- Use the service to make automated decisions that produce legal effects on individuals without appropriate human oversight.
9. Intellectual property
We own all rights in the IRIS service, including the software, designs, and documentation. You receive a non-exclusive, non-transferable right to use the service for the duration of your subscription. You retain all rights in your Customer Data.
Feedback you give us about the service may be used to improve IRIS, without obligation.
10. Confidentiality
Each party will protect the other's confidential information using at least the same care it uses to protect its own, and will use it only to perform under these terms. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
11. Warranties and disclaimer
We will provide the service with reasonable skill and care. Beyond that, the service is provided “as is” and to the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
IRIS surfaces estimates and forecasts derived from data we read. We do not warrant that figures will exactly match an invoice from your cloud or AI provider, and you should not treat IRIS output as a substitute for your provider's billing system of record.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, special, consequential, or exemplary damages, or for lost profits, lost revenue, or lost data.
Each party's total aggregate liability under these terms is limited to the fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be limited under English law.
13. Indemnification
You agree to indemnify us against claims arising from your misuse of the service, your violation of these terms, or your breach of any third-party right.
14. Changes to these terms
We may update these terms as the product evolves. Material changes will be communicated by email to account owners and the “Effective” date will be updated. If you continue to use the service after a change takes effect, you accept the updated terms.
15. Governing law
These terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.
